By accessing and using the services provided by Upgrow Softwares LLP ("we," "our," or "us"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Upgrow Softwares LLP provides software development services including but not limited to mobile app development, web development, UI/UX design, cloud solutions, and related consulting services. The specific scope of services will be defined in individual project agreements.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for project completion
• Respond to requests for information and feedback in a timely manner
• Make payments according to the agreed-upon schedule
• Obtain necessary licenses and permissions for any third-party materials provided
• Not use our services for any unlawful purpose

4. Intellectual Property

Upon full payment, clients receive full ownership of the deliverables created specifically for their project, unless otherwise specified in the project agreement. We retain ownership of:

• Pre-existing code, frameworks, and tools used in development
• General knowledge, skills, and experience gained during the project
• Any code or components designated as reusable or open-source

5. Payment Terms

Payment terms will be specified in individual project proposals and agreements. Unless otherwise agreed, we require an upfront deposit before commencing work. Outstanding invoices are due within the timeframe specified. Late payments may incur interest charges.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes business strategies, technical specifications, and any other information marked as confidential.

7. Limitation of Liability

To the maximum extent permitted by law, Upgrow Softwares LLPshall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of our services. Our total liability shall not exceed the amount paid by you for the specific services giving rise to the claim.

8. Warranty Disclaimer

We strive to deliver high-quality work, but our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee that deliverables will be error-free or meet all your specific requirements unless explicitly stated in the project agreement.

9. Termination

Either party may terminate a project agreement with written notice as specified in the agreement. Upon termination, you agree to pay for all work completed up to the termination date. We will provide all completed deliverables upon receipt of final payment.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the courts in India.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified terms.
